Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and PageBridge ("Company," "we," "us," or "our") concerning your access to and use of the pagebridge.io website (the "Site") and any related services provided by PageBridge (collectively, the "Services").

By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Site or Services.

Description of Services

PageBridge provides content performance monitoring and optimization tools designed to help content teams track, analyze, and improve their content's search performance. Our Services include:

  • Integration with Google Search Console to monitor content performance metrics
  • Content decay detection and alerting
  • Analytics and reporting for content teams
  • Integration capabilities with various content management systems (CMS)
  • Fit-check assessment tools to determine service compatibility

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Account Registration and Security

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, outdated, or incomplete.

Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Services in any manner that could damage, disable, or impair our systems
  • Attempt to gain unauthorized access to any portion of the Services or other systems
  • Use automated systems (bots, scrapers, etc.) to access the Services without our permission
  • Interfere with or disrupt the Services or servers or networks connected to the Services
  • Impersonate any person or entity or falsely state or misrepresent your affiliation
  • Upload or transmit viruses, malware, or any other malicious code
  • Collect or harvest any information from the Services using automated means
  • Use the Services for any competitive purposes or to build a competing product
  • Reverse engineer, decompile, or disassemble any portion of the Services

Intellectual Property Rights

The Services, including all content, features, functionality, and technology, are owned by PageBridge and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our Rights

All trademarks, service marks, logos, and trade names displayed on the Site are proprietary to PageBridge or their respective owners. You may not use any of these marks without our prior written permission.

Your Rights

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

You retain all rights to the content and data you provide to the Services ("Your Content"). By using the Services, you grant us a limited license to use, process, and display Your Content solely to provide the Services to you.

Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

You are responsible for ensuring that you have all necessary rights and permissions to provide us with any data you submit through the Services, including data from Google Search Console and your CMS.

Google API Services

Our Services integrate with Google Search Console via Google APIs. By using this integration, you acknowledge and agree that:

  • Your use of Google data is subject to Google's Terms of Service and Privacy Policy
  • We will access, use, and store your Google Search Console data solely to provide the Services
  • You can revoke our access to your Google data at any time through your Google account settings
  • We implement appropriate security measures to protect your Google data
  • We will not use your Google data for purposes other than providing and improving the Services

Fees and Payment

Certain aspects of the Services may be provided for a fee. If you choose to use paid Services, you agree to pay all applicable fees as described on the Site at the time of purchase.

Billing

  • Fees are stated exclusive of any taxes, levies, or duties, which you are responsible for paying
  • We may change our fees at any time with reasonable notice
  • All fees are non-refundable unless otherwise stated
  • You authorize us to charge your payment method on a recurring basis if you subscribe to a recurring service

Free Trial

  • We may offer a free trial period for certain Services
  • At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends
  • We reserve the right to modify or terminate free trial offers at any time

Term and Termination

These Terms remain in effect while you use the Services. You may terminate your account at any time by contacting us at legal@pagebridge.io.

We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. We may delete your account and data, though we may retain certain information as required by law or for legitimate business purposes.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Services will be uninterrupted, secure, or error-free
  • The results obtained from using the Services will be accurate or reliable
  • The quality of any products, services, information, or other material obtained through the Services will meet your expectations
  • Any errors in the Services will be corrected

You acknowledge that we do not control or guarantee the accuracy of data obtained from third-party services such as Google Search Console or your CMS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PAGEBRIDGE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless PageBridge and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Content or data provided to the Services

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PageBridge operates, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction to prevent actual or threatened infringement or misappropriation of intellectual property rights.

Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the new Terms on the Site and updating the "Last Updated" date.

Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Services.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PageBridge regarding the Services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.

Third-Party Services

The Services may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of third-party websites or services.
